These Terms and Conditions govern your membership to the Site at http://www.csportsonline.net. You agree to be bound by these Terms and Conditions by becoming a member of the Site, or by accessing, viewing, reading, printing, installing, using, or downloading any contents of the Site.
The following Terms and Conditions are governed by the Electronic Signatures in Global and National Commerce Act (E-Sign Act). By clicking a button or link containing the words “I agree”, or similar wording, you are agreeing to these Terms and Conditions.
These Terms and Conditions may change at any time. Your use of the Site after said changes, constitutes your acknowledgment and acceptance of the changes.
MEMBERSHIP
- You have the sole responsibility to provide the necessary computer, equipment, and software to access the entire site. Upon completion of an online registration form, the Site will process your application for membership. You agree to provide complete, accurate, true and current information about yourself. As long as you are a member, you will promptly update your “Registration Data” and keep the Site informed by e-mail of all changes, including but not limited to changes in e-mail address. The Site and its agents have the right to suspend or terminate your membership without refund of monies paid, if the Site suspects that information provided by you is incomplete, untrue, not current, or inaccurate.
- In order to register, you must choose a user name and password which will allow you to access the non-public portion of the site. You agree that you will not disclose to any other person your unique user name and password. Maintaining the confidentiality of your user name and password is your sole responsibility. All activities that occur under your user name and password is your sole responsibility. If there is an unauthorized use of your user name and password or any other breach of security, you agree to immediately notify the Site via e-mail. You are liable for any unauthorized use of the site until you notify the site by e-mail that there has been an unauthorized use. For security reasons, the site will not release the password. You agree to exit from the Site after each session.
- In order to cancel your membership, you must e-mail the Site’s Customer Service Department of your intent to cancel the membership and provide your username and password. Once your membership is cancelled, you will no longer be able to access the non-public portion of the Site.
TERMINATION OF MEMBERSHIP
The Site and its agents may terminate your membership and/or access at any time without notice or refund of monies paid, if the following occurs:
- Site believes you have breached any material terms of these Terms and Conditions.
- The Site is discontinued.
- The Site and/or its agents determines that it is in its best interests to do so.
You agree that neither Site, its agents, nor any third party acting on Site’s behalf shall be liable to you for any termination of your access to the Site. If your account is terminated, you agree that you will not attempt to re-register as a member without prior written consent from Site, and/or its agents.
SITE ACCESS
The Site grants you a limited, nonexclusive, nontransferable personal license to access and use the Site and its contents. You may use the contents of the Site onto a Single computer for your personal , noncommercial use only, provided that you are a member in good standing. You agree to prevent any unauthorized copying of the contents of the Site. Any unauthorized use of the Site and its contents terminates this limited license immediately, without refund of monies paid. Violators of this limited license may be prosecuted to the fullest extent under the applicable law.
You may use the Site only for purposes expressly permitted by the Terms and Conditions of the Site. You agree that you will not, without the express prior written authorization of the Site, duplicate the Site and/or its contents, use the Site and/or its contents for public display, sale, rent.
PLAYER PROFILE
It is the responsibility of the player and/or the player’s parent/guardian (if the player is under the age of 18 years old) to give true, accurate, complete and current information in their player profile. The player, and/or the player’s parent/guardian (if player is under the age of 18 years old), must promptly inform the Site via e-mail of all updated and/or changes. It is not the responsibility of the Site or its agents to assure the accuracy or truthfulness of the information of the player profile. The Site and its agents disclaim any and all liability arising from any incomplete, inaccurate, and untruthful information in the player profile. The Site has the right to suspend or terminate your player profile if it is incomplete, untrue, not current, or inaccurate, without any reimbursement of monies by the Site or its agents.
A player under the age of 18 years old must submit a signed authorization by the player’s parent/guardian for the release of the information/video of a player profile. Said minor’s profile will not be posted on the Site without the signed authorization.
WARRANTY DISCLAIMER
The Site and its contents are provided “As is” without warranty either implied or express, including warranties of merchantability and fitness for a particular purpose. The Site makes no warranties or representations that the contents will be timely, error free, uninterrupted, accurate or complete. You agree that any download of the contents of the site is done at your own risk, and that you will be solely responsible for any damage to your computer system or data loss that result from downloading said contents. The Site and its agents are not liable for any error in the contents of the Site.
LIMIT OF LIABILITY
Neither the site nor its agents will be liable for incidental, punitive, or consequential damages as a result of lost profits which arise from a person’s use, misuse, or inability to use the Site.
TRADEMARK AND COPYRIGHT INFORMATION
C Sports Online is a trademark of Calienes, Inc. and may not be used publicly except with prior written permission by the Site and/or its agents. The contents on the Site are the proprietary information and valuable intellectual property of the Site, and the site retains all rights, title, and interest in the contents. Therefore, the contents cannot be duplicated, distributed, republished, uploaded or transmitted in any way without the prior written consent of the Site, except that you may print a written copy of the contents for your personal use. None of the videos on the Site may be duplicated, distributed or uploaded, for any reason.
- BINDING ARBITRATION
If a dispute between the parties arises, the parties shall meet and confer in good faith to attempt a resolution of the dispute. If the parties are unable to resolve the dispute, then either party may submit the issue to binding arbitration, pursuant to the Commercial Arbitration Rules of the American Arbitration Association. The Arbitration must be conducted in San Bernardino County, California and conducted by a single arbitrator who is knowledgeable in Internet and E-Commerce. The party bringing the action shall be responsible for paying all costs for arbitration, including the arbitrator’s fees. The prevailing party shall be entitled to attorney’s fees, all arbitration cost and arbitrator fees. The arbitrator has no authority to award punitive or exemplary damages. This section does not apply to any breach of any matter relating to intellectual property. The parties waive any rights they may have to a trial by judge or jury in regards to arbitral claims.
COMPLETE AGREEMENT
These Terms and Conditions are the Complete Agreement between the parties in regards to your membership, access and use of the Site and its contents. Any and all oral representations or agreements regarding the membership access, and use of the Site and its Contents, are superceded and replaced by the herein Terms and Conditions.
